What to know first
Florida issues an Annual Resale Certificate for Sales Tax to an active business registered to collect sales tax. The certificate supports tax-free purchases of property or services that will be resold or re-rented; it does not cover furniture, computers, supplies, personal purchases, or other items the business will use. Certificates expire December 31, and an active registered dealer receives access to a new certificate each year.
Use the certificate only for property or services held for resale
The Florida Department of Revenue lists items resold or re-rented, components incorporated into a product for sale, and services resold in the regular business as examples of eligible purchases. The business is certifying the resale purpose when it presents the certificate; a signature is no longer required.
Do not use the certificate for property or services consumed by the business, used before resale, or acquired for personal use. The Department specifically identifies furniture, office equipment, computers, and supplies as examples that cannot be purchased tax-free merely because the buyer operates a business.
Report use tax if the intended resale item is used instead
If an item was purchased tax-free for resale but is later used by the business or personally, Florida requires use tax to be reported and paid on the sales and use tax return. Preserve the original invoice, the date and nature of the later use, and the tax calculation.
Fraudulent certificate use can carry civil and criminal penalties. When the classification is uncertain, determine what is being sold, how the purchase enters that sale, and whether a different statutory exemption—not the resale certificate—may be relevant.
Document every tax-exempt sale for resale
A Florida seller can retain a paper or electronic copy of the customer's current Annual Resale Certificate, obtain a transaction authorization number for an individual sale, or obtain an annual vendor authorization number for a regular customer. The Department says certificate copies should be maintained for three years.
A transaction authorization number applies only to that purchase. Save verification response reports and ensure the certificate carries the proper business name and is current; the address does not have to match the purchaser's location address.
Renew the certificate each calendar year
Annual Resale Certificates expire on December 31. The Department makes the following year's certificates available online each November for active registered dealers. Dealers who electronically file generally print their own certificate.
A use-tax-only registration does not produce an Annual Resale Certificate because it does not authorize tax-free resale purchases. If a certificate is missing, confirm that the sales-tax account is active and that the correct business location and account are being used before giving a document to a vendor.
